Terms of Service
1. Agreement to Terms
By accessing or using the services provided by Operamize ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Services
Operamize provides custom software development, process automation and systems integration services for businesses. The scope of work for each engagement is defined in a separate proposal or service agreement provided prior to commencement of work.
3. Client Obligations
You agree to provide accurate and complete information necessary for service delivery, grant reasonable access to systems, tools and data required for the project, make timely payments as outlined in your service agreement and designate a point of contact for communications throughout the engagement.
4. Intellectual Property
Unless otherwise stated in a service agreement: custom work product created specifically for you is assigned to you upon receipt of full payment; pre-existing tools, frameworks and methodologies developed by Operamize remain our property; and we retain the right to apply general knowledge and techniques gained during engagements to future projects.
5. Payment Terms
Payment terms are specified in individual service agreements. A deposit is required before work begins. We reserve the right to pause or suspend services for overdue accounts.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement including business processes, data and systems. This obligation survives termination of the agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Operamize's total liability for any claim arising from our services shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental or consequential damages.
8. Termination
Either party may terminate a service engagement with 30 days written notice. Upon termination you are responsible for payment for all services rendered up to the termination date.
9. Governing Law
These Terms are governed by the laws of the state of Virginia, United States. Any disputes shall be resolved in the courts of Alexandria, Virginia.
10. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised Terms.
